1. Who we are
TenderInbox ("Service") is operated by Egységmester Kft., a limited liability company registered in Hungary, seat 2330 Dunaharaszti, Gyóni Géza köz 8., company reg. no. 13-09-162959, EU VAT 24291608-2-13 ("we"). Contact: hello@practicalapps.studio.
2. What the Service is (and is not)
The Service provides informational matching of EU-threshold public tenders published on TED against a business profile you configure, a daily email digest, a dashboard, deadline calendar feeds, and an automatically generated bid/no-bid heuristic indicator. Data source: TED, Publications Office of the EU. The Service is not affiliated with or endorsed by any EU institution. The Service does not provide legal, tax or professional advice, does not prepare or submit bids, does not assess your eligibility for any procedure, and does not warrant the accuracy or completeness of third-party source data (see Section 9). The disclaimers shown in the Service form part of these Terms.
3. Business use; consumers
The Service is designed for business use (B2B). By registering on behalf of a company you confirm you are entitled to bind it. If, exceptionally, you purchase as a consumer (a natural person acting outside trade or profession), the mandatory consumer provisions of your country of residence and Section 6 (withdrawal) apply to you and prevail over anything less favourable in these Terms.
4. Purchases, billing and taxes — Stripe as merchant of record
Subscriptions are sold through Stripe under its Managed Payments programme. This means: (a) Stripe is the merchant of record for your purchase — your contract for the payment transaction is with Stripe, which resells the subscription made available by us; (b) Stripe issues your invoice/receipt and determines, collects and remits applicable VAT or sales tax; (c) the name on your card statement will be TENDERINBOX (the final descriptor format may be set by Stripe); (d) refunds and payment disputes are executed through Stripe's merchant-of-record process (Section 6); (e) Stripe's own consumer terms for purchases apply to the payment transaction in addition to these Terms — where they conflict regarding the payment transaction itself, Stripe's purchase terms control; these Terms continue to govern your use of the Service.
5. Plans, trial, renewal, cancellation
Plans: SOLO (1 profile) and TEAM (3 profiles, 3 recipients), monthly or annual (annual is priced at 10 months). A 14-day trial requires a payment card; the paid subscription starts automatically at the end of the trial unless you cancel before it ends. Cancelling during the trial costs nothing — no charge is made. Subscriptions renew automatically for successive periods until cancelled. You can cancel self-serve at any time with effect from the end of the current billing period. Prices are shown before checkout; tax handling per Section 4. If a renewal payment fails, we may suspend digests after a 7-day grace period and restore them on payment.
6. Refunds, withdrawal, chargebacks (merchant-of-record flow)
(a) 14-day refund: within 14 days of first purchase you may request a full refund, executed via Stripe as merchant of record (one click from the billing page). (b) EU/UK consumers — statutory withdrawal: consumers may withdraw within 14 days of concluding the contract, without giving reasons. The Service is a digital service (an ongoing subscription), so: (i) during the free trial no payment has been made — withdrawing costs nothing; (ii) if you expressly request that the paid Service start before the withdrawal period ends and you then withdraw, you owe a proportionate amount for the period already supplied (Directive 2011/83/EU Art. 14(3)); (iii) the right is lost only once the service has been fully performed, where performance began with your express prior consent and your acknowledgement that you lose the right on full performance (Art. 16(a)); (iv) for any discrete item of digital content supplied to you (e.g. a one-off export), the withdrawal right instead ends when supply begins with your express prior consent and your acknowledgement that you thereby lose the right of withdrawal (Art. 16(m)). You may (but need not) use the model withdrawal form (Annex I(B) of the Consumer Rights Directive), available from hello@practicalapps.studio and the billing page; any unequivocal statement works. After checkout we confirm the contract — including any Art. 16 consent and acknowledgement you gave — on a durable medium (email). (c) Chargebacks are handled in Stripe's merchant-of-record dispute process; we may suspend accounts used for abusive disputes. (d) Nothing in this Section limits statutory consumer rights.
7. Your obligations
Keep your account data accurate; keep credentials confidential; do not resell, redistribute or bulk-export Service output as a competing data product; do not probe, overload or reverse-engineer the Service; comply with applicable law when acting on tender information. If you are a business customer and a third party brings a claim against us arising from your use of the Service in breach of law or of these Terms, you will indemnify us for the reasonable costs and damages of that claim.
8. Intellectual property; data attribution
The Service software, design and copy are ours or our licensors'. Tender notice content originates from TED and is reused under the Publications Office reuse rules with attribution; your reuse of notice content must retain source attribution to TED. We claim no exclusivity over the underlying public TED data itself — your subscription pays for matching, delivery and tooling, not for the public data. Your profile data remains yours; you grant us the licence needed to operate the Service. If you send us feedback or suggestions, we may use them without restriction or payment.
9. Service quality; no results promise
The Service is provided with reasonable skill and care. We do not promise that every relevant notice is matched or delivered, that source data is error-free or current, that summaries are complete, or that any tender outcome will follow from use of the Service. The bid/no-bid indicator is a heuristic signal, not procurement guidance or a prediction. The official notice and procurement documents always prevail. The Service is provided on an "as available" basis: brief maintenance windows and outages of third-party sources (including the TED API) can interrupt digests; we schedule maintenance considerately but do not promise uninterrupted availability.
10. Liability
Nothing limits liability for wilful misconduct or gross negligence, for death or personal injury, or any liability that cannot lawfully be limited. Otherwise, to the extent permitted by law: (a) we are liable only for typical, foreseeable damage directly caused by our breach; (b) our aggregate liability per contract year is capped at the fees paid by you (to Stripe as merchant of record, for the Service) in the 12 months before the event; (c) we are not liable for lost profits, lost tenders, missed deadlines caused by source-data errors or delays, or other indirect damage; (d) neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure), including failure or suspension of the TED API or other third-party infrastructure, for as long as the event persists and provided performance resumes without undue delay. For consumers, mandatory statutory liability rules prevail.
11. Suspension & termination
We may suspend or terminate for material breach (including Section 7), legal compulsion, or discontinuation of the Service with 60 days' notice; on discontinuation, prepaid unused periods are refunded pro rata through the merchant-of-record flow. You may export your profile and saved matches before closure.
12. Changes
We may amend these Terms with 30 days' notice by email; if you do not accept, you may cancel with effect from the change date. Price changes never apply retroactively and take effect at the next renewal.
13. Governing law & disputes
These Terms are governed by Hungarian law. For business customers, the courts competent for 2330 Dunaharaszti, Gyóni Géza köz 8., Hungary, have exclusive jurisdiction. Consumers retain the protection and forum rights of their habitual residence (within the EU: Regulation (EU) 1215/2012 Arts. 17–19 and Rome I Art. 6; UK consumers: the equivalent UK rules). Hungarian consumers may turn to the conciliation body (békéltető testület) competent for their residence.
14. Refund & cancellation policy (summary)
(1) 14-day refund, any reason: first-time subscriptions get a full refund on request within 14 days of the first charge — one click from your billing page, executed by Stripe as merchant of record back to the original payment method. (2) Trial: no charge during the 14-day trial; cancel before it ends and you pay nothing. (3) Cancellation: self-serve, anytime; access continues to the end of the paid period; no partial-period refunds after the 14-day window, except as required by law or on Service discontinuation (pro-rata refund). (4) EU/UK consumers: statutory 14-day withdrawal per Section 6(b); statutory rights are never reduced by this policy. (5) How to ask: billing page button, or email hello@practicalapps.studio from your account address with the invoice/receipt reference issued by Stripe. (6) Chargebacks: please contact us first — refund requests within policy are honoured without friction.
